Clause 1.1(7): In addition to the Advertisement, Groupon shall have the non- exclusive right to sell and
distribute the Vouchers. as the Merchant’s agent.
2.1(g) during the Term of this Agreement it shall not give any individuals other than a Voucher
Holder who has presented a Voucher to the Merchant a discount for the products and/or
services which constitute the Merchant Offering;
4(a) and (b): Promo codes and the fluctuating increase or decrease of vouchers and/or payments does not apply to this agreement
4.4 Refunds
Groupon has the right to refund any buyer of a Voucher who, in Groupon’s reasonable opinion,
has a valid complaint about the Merchant Offering, including, but not limited to, its supply or
delivery. If Groupon has already paid the Merchant in respect of such refunded Voucher,
subject to the Merchant’s sole discretion and confirmation, Groupon may recover the refunded
amount from the Merchant.
Instead, redeemed vouchers will not be valid for refunds. In severe cases, the Merchant will be informed of refund requests on redeemed vouchers on a play by play basis, subject to the Merchant's approval
4.5 Set-off
Groupon may set off against any amounts payable to the Merchant any amount owed by the
Merchant to Groupon (or to a third party, if such third party claims such amount from Groupon
or, in Groupon’s reasonable opinion, will likely do so). In the event Groupon deducts any amounts without
good cause, it shall reimburse the Merchant the deducted sums.
6.1 Licensing of IP by the Merchant
The Merchant grants to Groupon a non-exclusive, royalty free, paid-up, revocable, right to use
the Merchant’s registered and un-registered intellectual property rights (''Merchant IP''), and any
third party’s intellectual property rights supplied by the Merchant to Groupon (''Third Party IP''),
including, but not limited to, any editorial text or images. Such licence shall be granted for the
purpose of (i) enabling Groupon to create the Advertisements and promote the Merchant
Offering; and (ii) including the Merchant’s logo in Groupon’s marketing materials used for
highlighting merchants it has worked with. Groupon may not transfer or sub license any of the
rights granted in this clause to any third party to this Agreement except to its affiliated
corporate entities and then only for promoting the Merchant Offering.
7.1 This Agreement
Both Parties agrees to keep strictly confidential the terms of this Agreement, all of its contents
and all information that it obtained about the other party’s business, including, but not limited
to, the finances, technology and affairs of the other party.
8.1 Term
(1) This Agreement shall commence on the Effective Date and shall continue for a period of one
(1) year from the Effective Date (from 15 th June 2025 to 14 th June 2026) (''Term''). This Agreement
may be renewed, as mutually agreed between both Parties in writing.
8.2(a) (a) the other party commits a material breach of this Agreement and such breach either cannot
be remedied or, where remedy is possible, is not remedied within 30 days after a written
request to do so;
8.2(2) Without prejudice to Groupon’s other rights hereunder or at law, if the Merchant commits a
material breach or persistent breaches of this Agreement, including, but not limited to, its
duties under section 1.2, and is unable to remedy the same within fourteen (14) calendar days,
Groupon may suspend its performance under this Agreement until such time as the same are
remedied.
8.3 Accrual of Rights and Obligations
Termination of this Agreement in accordance with its terms shall not affect the accrued rights
or liabilities of the parties at the date of termination and shall have no effect on: (a) the validity
of Vouchers already sold prior to termination; or (b) the Merchant’s obligations to provide the
Merchant Offering in respect of such Vouchers and the performance of Groupon’ obligations
towards the Merchant as stipulated under this Agreement.
9(1) Save and except if any such loss, expense or claim is directly attributable to any act,
omission, negligence or breach by Groupon of its obligations under this Agreement, the
Merchant agrees to defend, indemnify and hold Groupon, its affiliated and related entities, and
any of its respective officers, directors, agents and employees, harmless from and against any
claims, lawsuits, investigations, penalties, damages, losses or expenses (including, but not
limited to, reasonable attorneys’ fees and costs) arising out of or relating to any of the following:
9(d)(2): This clause will be completely voided: The Merchant agrees to indemnify Groupon for losses arising from each occasion that the
Merchant offers a Voucher Holder the Merchant Offering at the Voucher Price or lower without
the need for a Voucher, following contact from a Voucher Holder attempting to redeem their
Voucher.
10(7) Neither party is authorised to transfer or assign its rights or obligations under this
Agreement, whether by operation of law or otherwise, without the other party’s prior written
consent.
10(8) This Agreement shall be signed manually by the authorized signatories of both parties and
any such signature affixed by either party with respect to the execution of this Agreement shall
be held valid provided the official company seal of either party is affixed under the respective
signature of the signatory. Either party may provide an electronic/ digital signature to validly
execute this Agreement provided that any such signature is validated by the company seal. The
parties further agree that using an electronic signature shall be treated with the same legal
force and effect as a signature written by hand, and will not be denied legal validity solely due
to the fact that the signature is in electronic form
10(9)(1) This Agreement shall be governed and interpreted by the laws of UAE, without regard to its
conflict or choice of law principles. Exclusive venue for any disputes shall be the courts of Dubai
(excluding the DIFC Courts).
10(11) The Effective Date of this Agreement shall be the date that the last of Groupon or the
Merchant signs this Agreement or otherwise indicates its assent in writing (''Effective Date'').

Dubai Aquarium & Underwater Zoo may change operating hours or close temporarily due to
refurbishing, capacity, inclement weather or special events, and may otherwise be discounted
without notice and without liability to the owner.
Ticket does not entitle holder to non-complimentary services or provisions within Dubai Aquarium
& Underwater Zoo.
Re-admission to Dubai Aquarium & Underwater Zoo is not allowed.
Tickets holder may be refused entry if, in the reasonable opinion of the staff, the presence of the
holder may pose risk to the safety of tickets holders, and/or affect the enjoyment of others within
Dubai Aquarium & Underwater Zoo and/or affect the normal operation of Dubai Aquarium &
Underwater Zoo.
Management reserves the right to refuse admission.
All persons entering the venue are subject to the rule and regulations as set by the management.
Tickets are non-refundable and non-exchangeable.
Children under 3 years of age and pregnant women are not permitted to ride the Glass-Bottom
Boats for safety reasons.
Children under 16 years of age must be accompanied by an adult.
Limit 5 per person(s), may buy 5 additional as gift(s). Valid only for option purchased. Groupon prices are inclusive of VAT where applicable. See the rules that apply to all deals. May be repurchased every 30 days. Electronic voucher must be presented.
Merchant is solely responsible to purchasers for the care and quality of the advertised products and services.
